We explain how "old-fashioned" structures (e.g. multiple rep offices) are rapidly being replaced, and how to choose between various legal entities (holding company, WFOE, branch, subsidiary, rep office). We use practical case studies to explain the main legal, tax and financial implications, including registered capital, cash-flow and VAT issues, and how to efficiently hire employees throughout China. Maarten Roos, Founder and Managing Director of R&P China Lawyers
Maarten Roos has been in China since 1999 and is the founder of R&P China Lawyers. He advises European and American companies with business interests in China, mainly relating to investment projects and corporate activities, commercial transactions, intellectual property rights protection and dispute resolution. He has worked on numerous complex transactions including M&A deals, corporate (re-)structuring and company liquidations, and frequently represents foreign clients in negotiations with Chinese business partners and government officials.
Besides his position as managing director of R&P, Maarten is also Arbitrator of the Shanghai International Economic and Trade Arbitration Commission (Shanghai Arbitration Center / SHIAC, the former CIETAC Shanghai Sub-Commission). He specializes in hearing disputes on foreign investment, joint venture and international cooperations, corporate law and contract law.
Sabrina Zhang, China National Tax Partner, Dezan Shira & Associates China
Sabrina Zhang, CPA, is the China National Tax Partner at Dezan Shira & Associates China offices.
Sabrina is experienced in the fields of tax planning, corporate structuring, and accounting & financing issues relating to foreign invested enterprises. She advises international investors in China on tax matters on a national basis. Sabrina has over 18 years of experience in accounting, auditing and tax advisory services to both international businesses in China and large domestic corporations.
Sabrina is also an in-demand speaker at international events on legal, tax and financial issues in China. She was bestowed the Star Speaker Award by Bloomberg BNA in 2014, an accreditation given only to the top 5% of speakers who present at Bloomberg's international events and conferences.
Eva Zhang, Senior Vice President, Business Management and RMB Internationalization, Banking China
Eva leads the business management function in Banking China; she focuses on the development of cross border RMB businesses and the new business initiatives from financial reform pilots including Shanghai Free Trade Zone. She works closely with the regulators, coordinates with internal stakeholders to transfer new regulation and policies into businesses, and drives implementation. Eva has been working in HSBC for 11 years, and has taken various roles in both frontline and strategic projects, with experiences working in different cities in China and overseas such as Singapore and UK.
