Everyone has read about numerous cases of fraud in China, and, indeed, some of you may already have experienced it. Fraud, of course, is not exclusive to China, but some aspects of business life here, principally the language, do make it more difficult, particularly for the newcomer, to ensure that their business is “safe”. Christoph Hezel, Stuart Lindley and Peter Humphrey will be exploring:
How to buy a business in China, invest in a joint venture, or carry out your normal business activities, with no more than normal levels of risk. How to detect fraud, or, preferably, avoid it and so allow you to sleep easier at night.

“Legal Due Diligence for China Transactions”
Performing legal due diligence in China can be a lot more difficult than in other jurisdictions. Christoph will provide an overview of the issues and pitfalls that often crop up during a legal due diligence in China. Besides the legal due diligence process & tools, the presentation will focus on the use of legal due diligence results in the transaction preparation.

“Financial Due Diligence – Spotting the Landmines”
Stuart will address the due-diligence issues relating to a company’s accounting systems and financial statements, concentrating on the balance sheet, and on the areas that normally raise the most questions (and eyebrows). He will explain how some of these areas overlap with legal due diligence. He will use real-life examples from IFM’s wide range of projects in China.
Peter Humphrey, ChinaWhys Co Ltd (bio)
“Peeling China’s Due Diligence Onion”
Peter will focus on the white-collar crime risks associated with China business deals and will discuss the pre-transactional due diligence required to mitigate risk in this business environment. He will give special attention to methods of ‘peeling the onion through reputational due diligence and will present due diligence case studies from successful and abortive transactions.
