A simple question: has your company ever entered into a contract in China?
This answer will invariably be “yes”. In fact, it is likely that your company repeatedly enters into contracts – from lease contracts to service contracts, from sales contracts to purchase contracts and from fitting-out contracts to logistics contracts.
Concluding and enforcing contracts in the PRC is notoriously difficult – and often misunderstood. However, many problems can be avoided by way of clear, well-drafted and legally workable contracts from the start.
The European Chamber of Commerce in China is delighted to present a new series of two extended workshop presentations with a specific focus upon China commercial contracts.
Two extended “workshop-style” presentations will be delivered, covering key areas in relation to the drafting and enforcement of commercial contracts in China.
Session A (Introduction to Contracts – the Key Legal and Commercial Issues)
Session A looks at a number of issues key to virtually any type of contract and will iron out many of the misconceptions arising from contracts in China. Areas covered will include:
What is a contract? Forms of contracts – oral, written, by course of dealings? Pre-contract negotiations – what should be considered? How is a contract formed? When is a contract void? Standard terms – are these acceptable? Who can sign a contract? What can you do when the other side fails to perform? Chinese or foreign governing law? Language versions? Is a Chinese version required? Termination – what happens when it all goes wrong?

Jeremy Sargent is the founding partner of JSA, a legal consultancy firm based in Guangzhou and Shanghai which provides legal advice to foreign companies in China.
