The National People’s Congress Standing Committee (NPCSC) passed a significantly revised version of the Company Law on 29th December 2023, which has entered into force on 1st July 2024. The revised Company Law presents several new requirements for businesses, including updates to capital contribution rules for limited liability companies (LLCs), new due diligence requirements, company capital system, corporate governance system, and the effectiveness of company resolutions.
To better understand the revised version of the Company Law, we are delighted to have Wang Xiang, Director General of Legislative Planning Office, Legislative Affairs Commission of the Standing Committee of the NPC to give an exclusive and closed-door interpretation session with European Chamber members.
2023年12月29日,十四届全国人大常委会第七次会议表决通过新修订的《中华人民共和国公司法》,自2024年7月1日起施行。新修订的公司法在股东出资责任与权益保护、公司资本制度、公司治理制度、公司决议效力等内容上均有显著变化。
为更好帮助会员了解公司法新修订的有关内容,中国欧盟商会非常荣幸邀请到全国人大法制工作委员会立法规划室王翔主任就公司法修法情况进行介绍,并回应会员企业关切问题。

Mr. Xiang Wang

Mr. Xiang Wang
Wang Xiang is currently the Director General of Legislative Planning Office and Spokesperson of the Legislative Affairs Commission of the Standing Committee of the NPC. After graduating from the Law Department of Peking University in 1998, he joined Legislative Affairs Commission of the Standing Committee of the NPC and served as the Deputy Director, Director, and Deputy Director General of the Economic Law Department of the Legislative Affairs Commission of the Standing Committee of the NPC. Mr Wang Xiang has participated in the formulation and revision of more than 20 laws, including Company Law, Securities Law, Enterprise Bankruptcy Law, Budget Law, Enterprise Income Tax Law, Anti-Monopoly Law, Anti Unfair Competition Law, Patent Law, Trademark Law, and Foreign Investment Law etc.

Mr. Adam Dunnett
Adam’s career has focused on trade & investment advocacy, promotion and association management. As the European Chamber’s secretary general, he is responsible for the overall implementation of its objectives, visibility, membership and advocacy activities across its 7 chapters and 9 offices in China (Beijing, Chengdu, Chongqing, Guangzhou, Nanjing, Shanghai, Shenzhen, Shenyang and Tianjin).
