Multinational companies and investors investing in China need to be aware of a number of significant tax developments. Taken as a whole, these developments further signal that the China tax authorities are focused on structures and transactions that might lack business purpose and/or commercial substance and will, in certain cases, deny the intended tax benefits - including the benefits of a relevant double tax treaty. The latest step towards this trend is the State Administration of Taxation's ("SAT") release of Guoshuihan (2009) No. 601 in late October 2009, which sets guidelines on the interpretation and determination of the term "beneficial owner" under double tax treaties. In addition, the China tax authority issued Guoshuihan (2009) No. 698 in late December 2009, in which SAT has emphasized that the indirect transfer of a Chinese entity would be subject to China tax if the arrangement is solely for avoiding the tax liability in China. This brief session is to give you an update on the important developments in China and what steps can be taken to best approach these challenges.

He has been involved in many investment projects of various industries including banking and finance, trading, imports/exports, computers, manufacturing, pharmaceutical and healthcare, real estate development, shipping and airlines, oil and gas industries and restaurants.
Joanne Chu is a Senior Manager of China tax and business advisory services of Ernst & Young Shenzhen office. She has been involved extensively in all aspects of tax services including compliance, advisory and planning work relating to corporate tax for over 9 years and servicing clients in a wide range of industries, including trading, manufacturing, property investment and development, oil and gas industries.
