The European Union Chamber of Commerce in China, PRD Chapter is delighted to invite members to join the Legal and Taxation Working Group meeting concerning potential risks and liability of legal representatives.
In principle, a Wholly Foreign Owned Enterprise (WFOE) or a Joint-Venture company (JVC) are separate legal entities with limited liability. Basically this means that legal liability should not extend to the shareholders and the executive managers during normal operations of the company. However, and in accordance with the Law, executive managers such as legal representative, director, supervisor and senior managers of a company can face personal liability in several circumstances. In this first part of the seminar, speakers will emphasize the different types of legal liability that the executives of a company in China may encounter, including their own civil, administrative, tax and criminal liabilities”.
Additionally, experts will focus on the potential risks and liability faced by management when their companies’ operations are not in full compliance with the tax regulation. What are the key points to consider to devise a proper tax risk management strategy? Given this opportunity, participants will also have a brief overview of the tax changes that have been introduced recently (update on the VAT reform notably).

Benoit Stos is the managing partner of Mazars Guanzhou office. After 4 years as an auditor in Paris, Benoît Stos joined Mazars Beijing office for 4 years before setting up the Guangzhou practice in 2006. Mr. Vivian Desmonts
Vivian Desmonts is a member of the Paris bar and a registered foreign lawyer with the Guangdong Bureau of Justice. Vivian Desmonts manages the Guangzhou office of DS Law Firm, which is a European law firm with over 15 offices in the world. After 4 years at DS Law Firm Paris office and 2 at its Shanghai office, Vivian Desmonts has set up in 2004 the Firm’s Guangzhou office. With over 13 years of experience in Chinese law and practice, Vivian Desmonts advises European groups and SMEs mainly in corporate law, business law, employment law and tax law. Vivian Desmonts is also co-Chairman of the Legal & Taxation working group of the European Chamber.
