The year 2016 was marked by extraordinary political and economy uncertainty and a corresponding effect on cross-border deal activity. According to Thomson Reuters, global M&A activity totaled USD 3.7 trillion dollars in 2016. Record levels of outbound M&A from Chinese buyers into European and US assets accounted for a large chunk of this.
Much of Chinese outbound M&A activity has been in line with the country’s China Manufacturing 2025 initiative, which aims to upgrade and enhance China’s domestic manufacturing capabilities and boost innovation.
At the European Chamber’s ‘Mergers & Acquisitions Conference 2017’ a host of speakers from industry, investment banks, law firms and professional services companies are set to discuss where international M&A activity is headed, the future direction of Chinese investment and what the increased political uncertainty means for deal-making activity in China and across the globe.

Speakers
Mr. Philip Lazare
Philip Lazare studied law in Munich and Berlin, Germany. After working for the Treuhandanstalt Privatization Agency and in the legal department of a medical engineering company in Berlin, he started to practice as a lawyer in a German law firm and was responsible for establishing offices in Poland and China. Mr. Lazare has worked in Shanghai since 2000.
Areas of Practice
Philip Lazare has advised European companies with their investments and mergers and acquisitions in China for more than 10 years. His spectrum of expertise ranges from real estate due diligence to the privatisation of companies belonging to the State. In addition, he also advises on the tax structuring of cross-border projects. Mr. Lazare's clients are the owners of large companies, affiliated companies and private equity houses.
Mr. Eduardo Morcillo
With 23 years of China corporate development and investment banking experience, Eduardo is Managing Partner of ICP (InterChina Partners). ICP ranks among China’s top 5 mid-market Investment banks with more than 200 M&A and Divestment transactions successfully closed. The company employs 60 people and has offices in Beijing, Shanghai, Hong Kong and London. InterChina is member of Clearwater International, one of Europe’s leading investment banking firms. Eduardo is a member of several board of directors in China and APAC, a member of YPO and an associate professor in Cheung Kong Business School and IE for MBA executive education. Prior work experience with Credit Suisse Asset Management (Madrid) and Sinclair Roche & Temperley (London).
Mr. Mark Harrison
Mark began his career in London where he spent 5 years working first in audit and then specialising in cross-border transactions across Europe for private equity clients. He subsequently worked in our Paris office for over four years focusing on cross-border engagements, including 6 months stationed in Chicago. In December 2007, Mark transferred to our Shanghai office where he advises multi-national clients on transactions in China. He has advised on over 250 transactions during 13 years based in China. Mark speaks English and French fluently, and is conversational in Mandarin Chinese
Mr. Joël Guiraud
Joel Guiraud, is French, and CEO of Jin Jiang Louvre Asia, an Hospitality Cie based in Shanghai. He is graduate of the Hotel Management School of Lausanne, and HEC Executive Education.
He has 35 years experience in the hospitality, and F&B. He has worked for main French Companies , Agapes (Auchan), Accor Hotels, Ascot a consulting firm he founded, and Louvre Hotels Group.
Since 16 years at Louvre Hotels Group where he occupied differents operational functions then as COO for France and for the entire group since 2015.
He has a very strong experience in managing hotel's and restaurant's networks, either under franchised and management agreements or as owned properties.
He si used to deal with franchisees, develop networks and lead operational teams in various countries in budget and midscale hotels.
Number two in Europe with 1200 hotels, Louvre Hotel Group was acquired in 2015 by the number one hospitality Cie in China and SOE, Jin Jiang International. End of 2016 jin Jiang decided to setup a common Head Quarter with Louvre Hotels in Shanghai.
Joel is in charge to start and lead this new management platform that will develop both Chinese and French hotels’s brands for China Mainland and Asia pacific.
Last but not least, Joel is a fan of sea kayak and he is looking for places fit to kayak in or around Shanghai….
Mr. Ming Cheng Chien
Mr. Ming Cheng Chien was born in Shanghai in 1955. He received his undergraduate and graduate educations in chemical engineering in the U.S.A.
He started his professional career in the U.S.A. in 1986 as a process engineer and subsequently held various technical and managerial positions with increasing responsibilities. In 2002, with Basell, he was expatriated to Milan, Italy as General Manager - Licensing and New Ventures - Asia Pacific, taking responsibilities for quite a number of technology licensing and joint venture projects in the region.
In 2008, Mr. Chien joined LANXESS as Managing Director of LANXESS Buna GmbH in Marl, Germany for the business of synthetic rubber EPDM. After the acquisition of DSM’s Elastomers, B.V. in May 2011, Mr. Chien additionally took over the position as COO LANXESS Elastomers B.V. in Geleen, the Netherlands, responsible for the merged EPDM business with four production sites globally. In September 2012, LANXESS broke ground in Changzhou, China for a new EPDM production facility, strengthening further its worldwide leading position.
In February 2013, Mr. Chien was relocated back to Shanghai, taking over the responsibility as CEO LANXESS Greater China for this increasingly important market of the global business.
In April of 2016, LANXESS and Saudi Aramco launched a joint venture company, ARLANXEO, for synthetic rubber businesses. Mr. Chien additionally took up the role of Managing Director for ARLANXEO in China as well.
Mr. Victor Shen
With over 19-years experiences in multinational corporation’s legal affairs management and compliance, Victor used to work in a Hong Kong red-chip mobile communication company, a multi-national cosmetics company, and a world-class retail conglomerate. His extensive experience has equipped him with rich business knowledge of various industries, a sharp sense of different industry sectors and legal practice experiences. Victor has worked at Henkel for over 13 years, during which he has led his team handled numerous and complicated legal affairs and projects in the areas of international & domestic restructuring, divesture, mergers & acquisitions, labor, anti-trust, tax, customs, dispute resolution, government affairs, compliance and corporate governance. Victor’s performances has won him a high recognition from the Headquarters’ management, and he was elected as one of the Top General Counsel in 2015 by Asia Legal Business of Thomson Reuters and ranked one of GC Influencer of Greater China by Chambers in 2018 and 2019 consecutively as well as GC Power-list by Legal500 for consecutive years. Victor’s current practices and study interests concentrate on the legal systems of foreign direct investment, anti-trust, mergers & acquisitions, tax law, compliance and corporate law. Victor is also an active columnist at LexisNexis China and is invited from time to time by professional forums as the guest speaker on the above-mentioned areas.
Mr. Herve Roesch
Herve Roesch is a PwC Deals partner based in Shanghai. He focuses on the operational aspects of transactions pre-deal and post-deal. He helps clients carry out due diligence and post-deal activities including Day-1 taking control, synergies, and integration, in the context of JV, inbound and outbound transactions.
Herve has been in China for the past 7 years. Prior to that, he worked for PwC in London. Herve is the chair of the M&A and Investment working group at the European Chamber of Commerce.
Herve started his career working for Unilever in Europe, holding leadership positions in manufacturing, logistics and procurement.
Herve obtained a Master’s degree in Engineering from the Ecole Nationale des Ponts et Chaussees in Paris and studied in the Technische Universitat in Munich.
Mr. Jens Ewert
Jens Ewert, a Senior Partner with Deloitte China, has over 30 years of working experience in the professional services, based in Shanghai since end 2002 – he has been a member of Deloitte China Eastern Region Management team since then. Jens is the national leader for Deloitte China Life Science & Health Care Industry, leading a dedicated industry team comprising over 1000+ partners and professionals. He also covers our full range of multidisciplinary services, from consulting, risk & financial & tax advisory and audit & assurance, offering to Multinational Clients in China.
Jens has received the ‘Magnolia Silver Award’ from the Shanghai Government in September 2021, recognizing foreign business leaders for their special and outstanding contribution to the City’s development. He is also a Board member at the EUCCC Shanghai and the National Vice-Chair of the Investment Working group at the EU Chamber in China.
Prior to moving to China, he has been working in numerous countries always in professional services, such as France, Hungary, Vietnam and Indonesia. He hold a Master degree from University Paris X Dauphine in Business & Finance and a Diploma of Political Science from Institut d'Etudes Politiques de Paris. He also attended numerous executive programs at IMD and Insead. He is married to Christine and calls France his home.
